Terms of Service
These Terms of Service ("Terms") govern your access to and use of CoreThesis (the "Service"), a financial information publication operated by SentientFlow Solutions LLC, doing business as CoreThesis ("CoreThesis," "we," "us," or "our"). By creating an account, accessing, or using the Service in any way, you ("you," "user," or "your") agree to be bound by these Terms. If you do not agree to these Terms, do not create an account or use the Service.
CoreThesis is a publisher of general financial information. It is not a registered investment adviser, broker-dealer, or financial planner, and nothing in the Service constitutes investment advice or a recommendation to buy, sell, or hold any security. Reports are general, impersonal, and identical for every user. Please read Sections 2 and 3 carefully before using the Service.
1.Description of the Service
CoreThesis is a publisher of financial information. The Service generates and delivers pre-synthesized research reports on publicly traded companies, market sectors, and macroeconomic conditions. Reports are compiled from publicly available data sources and organized into plain-language summaries that may be consumed directly or loaded as context into artificial-intelligence agents and other software.
The reports are general in nature and identical for every user who requests them. They are made available on a regular and ongoing basis to the general public on equal terms. The Service does not create, and you should not infer, any individualized relationship between you and CoreThesis.
Coverage is limited to the companies and instruments in our catalog at any given time. The Service does not cover all securities, is not real-time, and is not a trading platform, brokerage, or order-execution system.
2.No Investment Advice; Information Only
This Section is fundamental to the Service and to your agreement to these Terms.
CoreThesis is not a registered investment adviser, broker-dealer, financial planner, or financial analyst, and it is not registered with the U.S. Securities and Exchange Commission, the Financial Industry Regulatory Authority, or any state securities regulator. Nothing in the Service constitutes investment advice.
All content provided through the Service is published for general informational purposes only. It is impersonal, is not tailored or directed to the investment needs, objectives, financial situation, or risk tolerance of any individual user, and must not be relied upon as a substitute for independent judgment or professional advice.
Nothing in the Service constitutes, and nothing in it should be construed as:
- a recommendation, solicitation, endorsement, or offer by CoreThesis to buy, sell, or hold any security or other financial instrument;
- legal, tax, accounting, or financial-planning advice of any kind;
- an assessment of whether any security or strategy is suitable or appropriate for you or for any particular person; or
- a price target, forecast, or guarantee of any future outcome.
You are solely responsible for your own investment decisions. Before acting on any information obtained through the Service, you should conduct your own due diligence and consult a licensed financial adviser, broker, attorney, or tax professional who can take your individual circumstances into account.
3.Risk Disclosure
Investing in securities involves substantial risk, including the possible loss of all capital invested. There is no guarantee that any information, analysis, or conclusion presented through the Service will prove accurate, complete, or profitable. Past performance is not indicative of future results.
Market data and the underlying public filings on which reports are based may contain errors, may be delayed, and may become outdated. Reports are generated on a periodic schedule and reflect information available as of the time of generation; they may not reflect events occurring afterward. You bear all risk associated with any decision made in reliance on the Service.
4.Sources, Accuracy, and Availability
Reports are synthesized from sources believed to be reliable, including public regulatory filings, government economic data, and market data feeds. We do not independently verify all source data and do not warrant that any report is accurate, complete, current, or error-free. Conclusions and characterizations contained in reports represent automated analysis of source data and are not statements of fact about any company.
The Service is provided on an "as available" basis. We do not guarantee uninterrupted access and may modify, suspend, or discontinue any part of the Service, including catalog coverage and update frequency, at any time without notice.
5.Accounts and Eligibility
The Service is offered to individual consumers for personal use. To use the Service you must create an account and be at least 18 years old and capable of forming a binding contract, and you must use the Service for your own personal, non-commercial purposes. You agree to provide accurate information and to keep it current.
You are responsible for maintaining the confidentiality of your account credentials and API keys and for all activity occurring under your account. You agree to notify us promptly of any unauthorized use. We are not liable for any loss arising from unauthorized use of your account or keys.
6.Fees, Billing, and Refunds
Access to certain features is provided on a paid basis, and only on a pay-as-you-go basis. Current pricing, including per-report charges and any prepaid minimums, is described at the point of purchase and may change prospectively upon notice.
- Prepaid balances. Where the Service uses a prepaid model, you load a balance in advance, and charges are deducted as you use the Service. Prepaid balances are consumed as reports are requested.
- Authorization. By providing a payment method, you authorize us and our payment processor to charge applicable fees. Payments are processed by a third-party processor subject to its own terms; we do not store full payment-card details.
- Spending limits. Where the Service offers spending-cap or per-day limit controls, you are responsible for configuring them. Such controls are conveniences and not guarantees against usage charges.
- Taxes. Fees are exclusive of any applicable taxes, which are your responsibility.
Fees for service already rendered, and prepaid balances, are non-refundable except where a refund is required by applicable law. Your prepaid balance is a credit toward use of the Service, is not a gift certificate or stored-value instrument, is not transferable, and has no cash value except as required by law. If we permanently discontinue the Service, we will refund the unused portion of any prepaid balance. Free-trial allotments, where offered, are provided as-is and may be modified or withdrawn at any time.
7.No Subscriptions or Automatic Renewal
CoreThesis is pay-as-you-go only. We do not offer subscriptions, and nothing on your account renews automatically. There is no recurring fee, no billing period, and no plan to cancel — if you stop using the Service, you are not charged again.
You pay by loading a prepaid balance and are charged per report as you use it, at the rates described in Section 6. Your balance is yours until you spend it: it does not expire, and it is not drawn down by time passing.
Auto-recharge is optional and is not a subscription.
You may choose to turn on auto-recharge, which tops your balance up by an amount you set when it falls below a threshold you set. This is triggered by your own usage rather than by a calendar, it is off unless you switch it on, and you can switch it off at any time in your billing settings with immediate effect. We charge your saved payment method only when a top-up you configured is actually triggered.
Price changes.
We may change the per-report price. Any change applies only to purchases made after we give you advance notice by reasonable means, such as email. Reports you have already paid for, and balance you have already loaded, are unaffected.
8.License and Acceptable Use
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access reports for your own personal, non-commercial use only. The Service is intended for individual consumers; it is not licensed for business, enterprise, institutional, or other commercial use. All content remains the property of CoreThesis and its licensors and is protected by intellectual-property laws.
You agree that you will not, and will not permit any third party to:
- resell, redistribute, sublicense, publicly display, or otherwise commercially exploit reports, or use them for the benefit of any third party;
- scrape, harvest, or bulk-download content, or use automated means to access the Service beyond your own authorized agent usage;
- reverse engineer, decompile, or attempt to derive the synthesis methodology or source pipelines underlying the Service;
- share, resell, or transfer your account credentials or API keys;
- circumvent rate limits, spending controls, usage metering, or security measures;
- use the Service to provide individualized investment advice to third parties in a manner that would represent the Service as such advice; or
- use the Service in violation of any applicable law or regulation.
We may suspend or terminate access for any violation of this Section, for non-payment, or for suspected unauthorized or abusive use, with or without notice.
9.Intellectual Property
CoreThesis, the CoreThesis name and logo, the report formats, and the underlying synthesis methodology are the intellectual property of SentientFlow Solutions LLC. These Terms do not transfer any ownership interest to you. Underlying public data is the property of its respective sources.
10.Third-Party Platforms and Integrations
The Service may be accessed through or integrated with third-party platforms, agent frameworks, marketplaces, and payment processors. Your use of those platforms is governed by their own terms and policies. We are not responsible for the acts, omissions, content, or availability of any third party, and integration with a third party does not constitute endorsement.
11.Disclaimer of Warranties
THE SERVICE AND ALL CONTENT ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY. TO THE FULLEST EXTENT PERMITTED BY LAW, CORETHESIS DISCLAIMS ALL WARRANTIES, INCLUDING IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, NON-INFRINGEMENT, AND ANY WARRANTY THAT THE SERVICE WILL BE UNINTERRUPTED, SECURE, ACCURATE, COMPLETE, OR ERROR-FREE. NO INFORMATION OBTAINED THROUGH THE SERVICE CREATES ANY WARRANTY NOT EXPRESSLY STATED IN THESE TERMS.
12.Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, CORETHESIS, SENTIENT FLOW SOLUTIONS LLC, AND THEIR OFFICERS, MEMBERS, EMPLOYEES, AND SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, GOODWILL, OR INVESTMENT LOSSES, ARISING OUT OF OR RELATING TO THE SERVICE OR THESE TERMS, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES, AND REGARDLESS OF THE THEORY OF LIABILITY.
IN NO EVENT WILL THE TOTAL AGGREGATE LIABILITY OF CORETHESIS FOR ALL CLAIMS RELATING TO THE SERVICE EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO US IN THE THREE (3) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).
Some jurisdictions do not allow the exclusion or limitation of certain damages, so some of the above limitations may not apply to you. Nothing in these Terms limits liability that cannot be limited under applicable law.
13.Indemnification
You agree to indemnify, defend, and hold harmless CoreThesis, SentientFlow Solutions LLC, and their officers, members, and employees from any claims, liabilities, damages, losses, and expenses, including reasonable attorneys' fees, arising out of or related to your use of the Service, your violation of these Terms, your violation of any law or third-party right, or any investment or financial decision you make.
14.Governing Law and Dispute Resolution
These Terms are governed by the laws of the State of New York, without regard to its conflict-of-laws rules. You and CoreThesis agree that any dispute arising out of or relating to these Terms or the Service will be brought exclusively in the state or federal courts located in the State of New York, and you consent to the personal jurisdiction of those courts.
15.Changes to These Terms
We may modify these Terms from time to time. When we make material changes, we will update the "Last Updated" date and provide notice by reasonable means, such as email or an in-product notice. Your continued use of the Service after changes take effect constitutes acceptance of the revised Terms. If you do not agree, you must stop using the Service.
16.Termination
You may stop using the Service and close your account at any time. We may suspend or terminate your access at any time for violation of these Terms, non-payment, or as otherwise reasonably necessary. Sections that by their nature should survive termination — including Sections 2, 3, 9, 11, 12, 13, and 14 — will survive.
17.General
These Terms, together with any policies referenced in them, constitute the entire agreement between you and CoreThesis regarding the Service. If any provision is found unenforceable, the remaining provisions will remain in full effect. Our failure to enforce any provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition, or sale of assets.
